1.1  General Eligibility Criteria

To participate in Creator Club, you must satisfy all of the following conditions at the time of activation and at all times during your participation:

• You must be a valid student or registered user of College Vidya who has completed or is in the process of completing an admission through the Platform.

• You must be at least 18 [eighteen] years of age.

1.2  Verification Rights

College Vidya reserves the right, at its sole and absolute discretion, to:

• Verify your identity, eligibility, student status, and any information provided by you at any time;

• Request supporting documentation including but not limited to: government-issued photo ID, admission letter, fee payment receipt, bank statement, or PAN card;

• Suspend or terminate your Creator Club access pending verification; and

• Reject your participation if verification is not completed within a reasonable time specified by College Vidya.

2.1  Originality Requirement

All Content submitted by you must be wholly original, created by you personally, and must not reproduce, copy, or be substantially derived from any third-party material without appropriate authorisation or through AI (Artificial Content generated). You warrant that:

• You are the sole creator and owner of all Content submitted, or have obtained all necessary rights and licences to submit such Content;

• The Content does not infringe any copyright, trademark, patent, trade secret, moral right, personality right, right of publicity, or any other IPR of any third party;

• The Content has not been previously published, submitted, or licensed to any third party in a manner that would conflict with these Terms.

2.2  Prohibited Content

You must not submit Content that:

• Infringes or misappropriates any third-party IPR, including use of copyrighted music, film clips, brand logos, or third-party artwork without licence;

• Is defamatory, libellous, slanderous, or makes false statements about any individual, institution, company, or College Vidya;

• Is obscene, pornographic, sexually explicit, or inappropriate for a general audience;

• Is harmful, abusive, harassing, threatening, inciting, or promotes violence, discrimination, or hatred based on caste, religion, gender, sexual orientation, nationality, disability, or any other characteristic;

• Contains misleading, deceptive, or fraudulent claims about College Vidya's services, pricing, outcomes, or any third party;

• Violates any applicable law, regulation, or government directive, including provisions of the Information Technology Act, 2000, the Consumer Protection Act, 2019, or the Advertising Standards Council of India (ASCI) guidelines;

• Contains malware, viruses, or any harmful code;

• Discloses confidential information of College Vidya or any third party;

• Involves unsolicited promotional content unrelated to the Brief;

• Depicts illegal activities or promotes the consumption of alcohol, tobacco, narcotics, or other regulated substances;

• Makes guarantees of employment, salary, or specific outcomes from education that College Vidya does not formally represent; or

• Is otherwise objectionable in College Vidya's sole and absolute discretion.

2.3  Discretion to Reject

College Vidya reserves the absolute right to reject any Content submitted through Creator Club at its sole discretion, for any reason or no reason, including but not limited to non-compliance with a brief, quality standards, brand guidelines, or these terms. Rejection decisions are final and binding and are not subject to appeal.

2.4  Content Retention

• If approved content is deleted within 15 days, the creator shall not be entitled to the full payout.

• If approved content is deleted after full payment, College Vidya may recover the payout amount from future earnings.

• Repeated deletions or violations may lead to suspension or permanent removal from Creator Club.

• Three recorded violations may result in permanent termination.

3.1  Usage and Distribution Rights

By submitting content to Creator Club, you grant College Vidya a perpetual, worldwide, royalty-free, transferable, sublicensable, and irrevocable license to:

• Use, reproduce, edit, modify, crop, dub, adapt, translate, distribute, publish, and display your content;

• Create derivative works from your content;

• Use your content across websites, apps, social media, advertisements, investor decks, PR campaigns, offline promotions, and third-party platforms.

3.2  Marketing and Promotional Rights

College Vidya may use your content in:

• Meta Ads

• YouTube Ads

• Google Ads

• Website/app banners

• Performance marketing campaigns

• Promotional creatives

• Investor presentations

• PR/media activities

• Any digital or offline promotional material

3.3  No Additional Approval Required

The licence granted herein does not require College Vidya to seek any further consent, approval, or authorisation from you prior to any use of your Content. College Vidya may use the Content at any time, in any manner, and for any duration, without prior notice to you.

5.1  Explicit Advertising Rights

College Vidya shall have the express right without requiring any additional approval, payment, or consent from you to use your Content (including your name, image, voice, and likeness as captured within the Content) in any or all of the following:

• Paid advertising on Meta platforms (Facebook, Instagram, Messenger, and Audience Network);

• YouTube pre-roll ads, mid-roll ads, display ads, and promoted videos;

• Google Display Network and Google Discovery ads;

• Performance marketing campaigns optimised for leads, conversions, brand awareness, or any other objective;

• Website and mobile app promotional banners, pop-ups, and landing page creatives;

• Investor decks, funding presentations, and media kit materials;

• Public relations releases, news articles, and media features;

• Conference presentations, trade show displays, and promotional events; and

• Any other form of digital or offline promotion that College Vidya deems appropriate.

5.2  No Further Compensation

7.1  Creator's Indemnification Obligation

You agree to fully indemnify, defend, and hold harmless College Vidya their directors, officers, employees, agents, successors, assigns, affiliates, and licensees (collectively, the "Indemnified Parties") from and against any and all claims, demands, suits, proceedings, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees and disbursements) arising out of or relating to:

• Any breach by you of these Terms;

• Any inaccuracy in your representations or warranties;

• Any claim by a third party that your Content infringes their intellectual property rights;

• Any defamatory, false, misleading, or unlawful statements made by you in your Content;

• Any claim arising from your failure to disclose sponsored or promotional nature of Content as required by applicable law;

• Any claim arising from individuals who appear in your Content without having provided valid consent;

• Any regulatory action, penalty, or fine imposed on College Vidya arising from or related to your Content; and

• Any tax liability, penalty, or demand arising from your failure to comply with your tax obligations.

8.1  College Vidya's Rights

College Vidya reserves the right, at its sole and absolute discretion, with or without notice and without liability, to:

• Reject any or all Content submissions;

• Suspend your Creator Club access temporarily or permanently;

• Remove you from Creator Club;

• Pause, modify, cancel, or close any Brief or campaign;

• Modify the terms, structure, or features of Creator Club at any time;

• Withhold, hold, or forfeit pending Payouts in cases of suspected fraud, abuse, misrepresentation, content violation, or breach of these Terms;

• Initiate legal proceedings for recovery of Payouts improperly obtained or losses suffered by College Vidya; and

• Report suspected fraudulent or unlawful activity to appropriate authorities.

8.2  Termination by Creator

You may withdraw from the Creator Club at any time by writing to us at creator.club@collegevidya.com. Such withdrawal shall not affect any IPR assignment or licence granted prior to withdrawal, and shall not entitle you to any refund or compensation for Content already submitted or rights already transferred.

8.3  Effect of Termination

Upon termination or suspension (by either party or by College Vidya), the following shall apply:

• All licences and IPR assignments granted to College Vidya shall survive and remain in full force and effect;

• College Vidya shall retain all rights to use Content submitted prior to termination;

• Any Payouts that are withheld due to breach shall be forfeited;

• You must immediately cease representing yourself as a College Vidya Creator Club participant.

9.1  Exclusion of Indirect Damages

To the maximum extent permitted by applicable law, in no event shall College Vidya or any of their officers, directors, employees, agents or affiliates be liable to you or any third party for any:

• Indirect, incidental, special, consequential, or punitive damages;

• Loss of profits, revenue, goodwill, data, or business opportunities;

• Damages arising from content rejection, Platform downtime, system failure, or unavailability;

• Loss arising from algorithmic or platform changes by third-party social media platforms affecting your Content's reach or performance;

• Damages arising from the failure or delay of payment processing by Razorpay or other third-party providers;

• Damages arising from actions or omissions of third-party platforms on which Content is hosted or distributed; or

• Any other loss that was not directly and approximately caused by College Vidya's own gross negligence or wilful misconduct.
